Welcome to Charles River Direct LLC. ("we", "us", "our" or "CRD"). These Terms of Service (“Terms”) govern your use of our website located at charlesriver.com ("the Site" or our “Site”) and any purchases of goods and/or services made through the Site. By accessing or using our Site, you agree to these Terms. If you do not agree, please do not use the Site as these Terms will govern your use regardless of whether or not you agree to them. 

 

1. Use of the Site 

You agree to use the Site only for lawful purposes. You may not use the Site: 

  • For any illegal or unauthorized purpose. 

  • To violate any applicable laws or regulations. 

  • To transmit harmful or disruptive content or malware. 

 

We reserve the right to refuse service or terminate accounts for any reason or for no reason but including expressly if these Terms are violated. 

 

2. Eligibility 

To make purchases on our Site, you must be at least 18 years old or be at least thirteen (13) years old and have parental consent. By using the Site, you confirm that you meet this requirement. If you are a citizen of another country or reside outside of the United State, by using the Site you hereby represent, warrant and confirm to CRD that your usage Is permitted under all applicable laws, rules, regulations and other legal requirements of your applicable jurisdiction. 

 

3. Account Information 

You may create an account for the Site or check out as a guest. You are responsible for maintaining the confidentiality of your account, account password, all other account information and for all activities under your account, and also for restricting access to such information, your account, your devices and your access to the Site through your account and devices. You agree to accept responsibility for all activities that occur under your account or password. Additionally, you agree to notify Us immediately of any unauthorized access or use of your account or password, or any other breach of security (see notification options at the end of these Terms). 

 

4. Product Information and Orders 

All features, content, availability, specifications, products and prices of products described or depicted on the Site are subject to change at any time without notice. The inclusion of any products on the Site at a particular time does not imply that these products will be available at any time. All measures, descriptions and other specifications are approximate and are provided for convenience purposes only. We attempt to ensure that information on the Site is accurate and up to date, including applicable colors; however, the actual color you see depends on your device set-up, and We cannot guarantee that your devices will accurately display such colors. Despite our efforts, the information on the Sites may occasionally be inaccurate, incomplete or out-of-date. We make no representation as to the completeness, accuracy or currency of any information on the Site. For example, products or services included on a Site may be unavailable, may have different attributes than those listed, or may carry a different price than what is stated on the Site. In the event of a pricing error or discrepancy on the Site with respect to products or services, We reserve the right to cancel any orders (or partial orders) for such products or services. 

 

The receipt of your order through the Site does not automatically constitute CRD's acceptance of an order nor our confirmation of an offer to sell a product. We reserve the right, without prior notice: (a) to limit any order quantity on any product and/or to refuse service or fulfillment of any order or to any user of the Site; (b) to discontinue any product; (c) to bar any user from making or completing a transaction; and (d) to limit or impose conditions on the honoring of any coupon, coupon code, promotional code, or other similar promotion. For clarification, orders may be limited or cancelled at any time, including after receipt of a confirmation or shipping email, text or other communication. We also may require additional information and/or verification of information prior to the acceptance and/or shipment of any order. 

 

5. Pricing and Payment 

Prices are listed in U.S. dollars and are subject to change without notice. We reserve the right to correct any pricing errors. Sales or other taxes may be added as required by law. We accept major credit cards and other payment methods as listed at checkout. 

 

6. Shipping and Returns 

Please review our Shipping Policy and Return Policy for detailed information. Key points include (but are subject to change in accordance with these Terms): 

  • Free shipping on orders over $99. 

  • $12.95 flat-rate standard shipping on orders under $99. 

  • Returns accepted within 30 days of purchase. 

  • A $7.95 return shipping fee applies to prepaid return labels. 

 

7. Final Sale Items 

Items marked as “Final Sale” are not eligible for return or refund under any circumstances. 

 

8. Coupons, Discounts and other Promotions 

CRD may from time to time offer coupons, coupon codes, discount opportunities, or other similar promotions on one or more product offerings. In addition to these Terms, all such promotions are subject to the specific terms and conditions applicable to them (whether in these Terms, links to additional terms or otherwise), including expiration dates and usage limits, and cannot be applied to past purchases or combined unless explicitly stated.  

 

9. Text Programs 

CRD may from time to time operate marketing and transactional text message programs (each a “Text Program” and together “Text Programs”). By opting-in to any of the Text Programs, you consent to being sent periodic autodialed and/or non-autodialed text messages in relation to that Text Program at the telephone number that you provided at the time of joining that Text Program. By completing the opt-in process for any Text Program, you are confirming that the telephone number that you provided at the time of opting-in to the Text Program is your mobile number and that you have the authority to grant CRD the right to send text messages to that mobile number. Joining any of the Text Programs is not a condition of making a purchase on the Site. While all of the Text Programs are free, message and data rates may apply. You should check with your wireless carrier if you have questions about your plan and its coverage. 

 

10. Privacy 

Your use of the Site is also governed by our Privacy Policy, which describes how we collect and use any of your information obtained by your use of the Site. 

 

11. Intellectual Property 

All content on the Site, including, but not limited to, text, images, logos, trade names, trademarks, service marks, graphics, and software ("Site Content") other than User Content (as defined below) is owned or licensed by CRD or its affiliates and is protected by intellectual property laws and CRD expressly reserves all rights with respect thereto. Other than through your access and use of the Site in accordance with these Terms, you may not in any way copy reproduce, modify, create derivative works or otherwise replicate or use all or any portion of the Site Content at any time or in any way without our prior written permission in each instance. 

 

12. User Content 

As a user of the Site, you may provide and/or post content, such as reviews, comments, suggestions, profile information, Images, and other types of communications (collectively, "User Content") and/or share your or others' User Content with other others. By uploading User Content to the Site, you hereby represent and warrant that you have all rights and authority necessary to do so. Subject to any restrictions imposed on you by third parties, any User Content posted by you is deemed owned by you for purposes of CRD and the Site. You are prohibited from posting or transmitting any content that is owned by any third party, unlawful, Inaccurate, deceiving, threatening, defamatory, obscene or otherwise Is or could reasonably be expected to be offensive to any Individual or group. 

 

User Content is and will be considered non-confidential and non-proprietary. We may, but are not obligated to, monitor or review any User Content. CRD assumes no responsibility for any User Content, whether or not arising under the laws of copyright, libel, privacy, obscenity, or otherwise. CRD shall have no obligations to use, return, review, remove, or respond to any User Content (unless required by law). However, CRD retains the right to remove any or all User Content at any time for any or for no reason. Without limiting the foregoing, CRD has the right to fully cooperate with any law enforcement authorities or court order requesting or directing Us to disclose the identity or other information of users and/or devices using or accessing the Sites - and CRD Is not responsible to you or any third party for claims resulting therefrom. 

 

13. Suspension and Termination 

To the extent you have created an account with us, either you or CRD may suspend or terminate your account. or your use of or access to, your account or the Site at any time, for any reason or for no reason. Such termination will not affect your personal liability, if any, relate to the use of your account or other access by you of the Site prior to such suspension or termination, including any orders placed or charges incurred prior to suspension or termination. CRD reserves the right to change, suspend, discontinue or terminate all or any features of the Sites at any time. 

 

14. Limitation of Liability 

OUR MAXIMUM LIABILITY TO YOU UNDER ANY AND ALL CIRCUMSTANCES IS LIMITED TO THE AGGREGATE AMOUNT PAID BY YOU TO CRD THROUGH USE OF THE SITE, WHETHER THROUGH AN ACCOUNT OR AS A GUEST. IN NO EVENT WILL CRD, ITS AFFILIATED ENTITIES OR ANY OF THEIR RESPECTIVE EQUITY HOLDERS, DIRECTORS, MANAGERS, OFFICERS, EMPLOYEES, VENDORS, LICENSORS, AGENTS, ATTORNEYS, REPRESENTATIVES, SUCCESSORS OR ASSIGNS BE LIABLE TO ANY YOU OR ANY OTHER PARTY FOR ANY INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING THOSE RESULTING FROM LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE, INABILITY TO USE, ACCESS, LACK OF ACCESS, PERFORMANCE OF THE SITE OR LACK OF SUCH PERFORMANCE, OR THE RESULTS OF USE OF A SITE, ANY SITES LINKED TO A SITE, OR THE INFORMATION OR MATERIALS CONTAINED IN ANY OR ALL SUCH SITES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING OUR NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT FORESEEABLE, AND WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

 

IN THE EVENT OF ANY PROBLEM WITH THE SITE, OR ANY MATERIAL OR CONTENT ON THE SITE, YOU AGREE THAT YOUR SOLE REMEDY IS TO CEASE USING THE SITE. THIS LIMITATION IS A MATERIAL PART OF THE BARGAIN BETWEEN YOU AND CRD. IN THE EVENT OF ANY PROBLEM WITH THE PRODUCTS OR SERVICES THAT YOU HAVE PURCHASED ON OR THROUGH THE SITE, YOU AGREE THAT YOUR SOLE REMEDY, IF ANY, IS FROM THE MANUFACTURER OF SUCH PRODUCTS IN ACCORDANCE WITH SUCH MANUFACTURER'S WARRANTY, OR TO SEEK A RETURN AND REFUND FOR SUCH PRODUCT OR SERVICE IN ACCORDANCE WITH THE RETURNS AND REFUNDS POLICIES OF CRD. 

 

15. Other Disclaimers 

YOUR USE OF A SITE IS AT YOUR OWN RISK AND CRD MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND OR NATURE WHATSOEVER, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OF WHICH REPRESENTATIONS AND WARRANTIES ARE EXPRESLLY DISCLAIMED. WITHOUT IN ANY WAY LIMITING THE FOREGOING, WE CANNOT AND DO NOT REPRESENT OR WARRANT THAT THE SITE, ANY LINKED LOCATION ON THE SITE OR THEIR RESPECTIVE SERVICES WILL BE ERROR FREE OR FREE OF VIRUSES, OR WILL RUN UNINTERRUPTED AND WITHOUT UNAUTHORIZED ACCESS. 

 

16. Indemnity 

You agree to defend, indemnify and hold CRD, its affiliated entities, and their respective equity holders, directors, managers, officers, employees, vendors, licensors, agents, attorneys, representatives, successors and assigns, harmless from and against any losses, costs, expenses or damages of any nature whatsoever, including attorneys' fees and court costs, arising from any claim, cause of action, suit or demand of any third party due to, arising out of or relating to your breach of these Terms or your use of the Site in any unlawful manner. 

 

17. Waiver and Severability 

No waiver by either party of all or any portion of these Terms shall be deemed a further or continuing waiver of such term, a waiver of the same term on another occasion or a waiver of any other portion of these Terms, and any failure of a party to assert a right under these Terms shall not constitute a waiver of such right. In the event that any on or more potions of these Terms Is determined to be unlawful by a court of competent jurisdiction, (i) such determination shall not affect the validity of any other portion of these Terms, and (ii) such unlawful terms shall be limited (In time, scope or otherwise) to the extent necessary to make such provision lawful. 

 

18. Governing Law; Dispute Resolution 

The Site is administered from the CRD offices located in the Commonwealth of Massachusetts. Therefore, these Terms are governed exclusively by the laws of the Commonwealth of Massachusetts, without regard to any conflict of law or choice of law principles of any state that would otherwise permit the applicability of another jurisdiction. By using the Site, you Irrevocably submit to the exclusive jurisdiction of the federal and state courts located In Boston, Massachusetts. 

 

19. Entire Agreement 

These Terms and the Privacy Policy referenced above, as the same are currently If effect as of their respective Effective Dates, constitute the entire agreement between you and CRD with respect to the Sites and supersede any and all prior understandings or agreements, written or oral, with respect to the Site. 

 

20. Changes to These Terms 

We reserve the right to add to, delete from, modify or otherwise update these Terms at any time. Updates will be posted on this page with an updated “Effective Date”, but otherwise without notice of any kind to you or any other party. Your continued use of the Site on or after the Effective Date on which any changes to these Terms are posted constitutes your acceptance of all of these Terms as updated.
